Amendments to the Commercial Code

On April 7th 2016, was published in the Federal Official Gazette the Decree that amends and adds several articles to the Federal Code of Commerce and the Federal Criminal Code (the “Decree”)1. This Decree includes certain obligations and concepts that are relevant to consider.

In addition to the previous obligation for legal entities to keep corporate books, now merchants, whether legal entities or individuals, are obliged to keep a general ledger. Such registers may be kept printed or by means of electronic, optical or any other technology.

Likewise, the Decree establishes that merchants shall be obliged to keep, for ten years and duly organized so that they may be matched with the corresponding operation, the original receipts of their operations, or otherwise in electronic, optical or any other technology.
