Bio narrative

Prior to her joining SPMS Legal, as partner and head of the Real Estate practice area, for 20 years, María Teresa was managing partner of RomoPaillés. Previously, she worked as an associate of an international New York based law firm, in its offices in Mexico City and New York. She started her professional experience as in-house counsel of a real estate company, focused in the hospitality industry.


María Teresa has more than 30 years’ experience as a lawyer, advising clients in complex transactions, including cross-border ones. She has specialized in real estate transactions, mergers and acquisitions, banking and finance, public biddings, public-private infrastructure projects and corporate law in general.


María Teresa has advised real estate developers in implementing, designing and drafting documents for real estate projects to develop and construct housing (residential, medium and low income), retail, distribution centers for retailers, and companies and investors in the hospitality industry, including hotel owners, hotel operators, timeshares, fractional property, located across Mexico. She coordinates and carries out extensive due diligence, and advises clients on regularization of ejido land and federal land, as well as permitting process and requirements, including environmental matters, government concessions, rights of way and easements.


She has broad experience in M&A transactions, designing and implementing diverse investment schemes for institutional and strategic investors and in establishing joint ventures in connection with real estate transactions, including the hospitality industry, manufacturing clients and developers and operators of infrastructure.


She has also experience in the finance and banking practice area. Teresa has advised lenders and debtors in the structure, negotiation and documenting of all types of loans and credits, security interests, syndicated loans, project finance for infrastructure projects and all ancillary agreements.
