SMPS Legal Advises Agriprofin on the Transfer of Its Trust Beneficiary Rights in Agrofibra to
Patria and Lexington, Who Will Jointly Assume Management of Agrofibra.


MEXICO CITY, MEXICO, December 15th, 202– SMPS Legal advised Agriprofin and its shareholders on the assignment of Agriprofin’s trust beneficiary rights, as Initial Settlor of the Agrofibra Trust—the first Real Estate Investment Trust (Fibra) in Mexico focused on the agribusiness sector—in favor of the Patria–Lexington Capital alliance.

The Patria–Lexington Capital alliance marks the beginning of the new management of Patria Lexington Fibra (formerly AgroFibra), combining the global and local expertise of both firms to foster Mexico’s economic development and expand access to innovative and high-potential investment vehicles.

Patria, a leader in alternative asset management in Latin America with more than 37 years of experience and over USD $51.2 billion in assets under management, announced a strategic alliance with Lexington Capital following the unanimous approval by the holders’ assembly of the Real Estate Trust Certificates identified with the ticker “AGRO22.” This approval authorized the appointment of Pat Servicios HoldCo Servicios Corporativos, S. de R.L. de C.V. (“Pat Servicios”), a company controlled by Patria with participation from Lexington, as the new manager of Patria Lexington Fibra (formerly AgroFibra).

The alliance brings together Patria’s operational scale and global expertise—with presence in Latin America, the United States, Europe, the United Kingdom, the Middle East, and Asia—and Lexington Capital’s deep understanding of the Mexican market. Together, both firms will jointly lead the strategy and comprehensive management of the Fibra, driving its consolidation within the agro-industrial sector of its real estate platform and its expansion into key segments such as industrial, data centers, logistics, retail, office, and specialized services including hospitals, among others.
