Iván specializes in securities, banking and Finance, mergers and acquisitions. He has represented issuers and intermediaries in connection with issuances of debt and equity securities, securitizations, structured securities, and tender offers, both locally and internationally. 

Iván also advises clients in connection with credit transactions and restructurings, and has an active M&A practice, particularly in private equity transactions. 

Iván is passionate about finding strategic solutions to his clients’ matters, always bringing in business vision and objectivity. He is motivated to solve clients’ challenges through creative and innovative proposals that are efficient and practical from a legal perspective. His goal is to always resolve transactions and operations in favor of the client, fulfilling the business goal, in a well-negotiated manner. 

Before joining SMPS Legal, Iván was partner at local and international law firms.

Iván has stood out as an author in two important publications by LexLatin, addressing crucial topics in the financial realm. In the article “La industria de capital de riesgo en Latinoamérica: ¿Qué esperar para 2024?, he provides an in-depth analysis of the key perspectives and trends shaping the venture capital landscape in the region for the upcoming year. Additionally, in their contribution “¿Cómo impacta a los mercados financieros la caída del ecosistema cripto?, he explores in detail the effects and repercussions of the decline in the crypto ecosystem on financial markets.

Mergers & Acquisitions 

  • Represented Grupo Axo in the corporate restructuring of various companies within Grupo Axo prior to an M&A with TJ Maxx. 
  • Represented Soccerly as a seller of its 100% digital assets to Playmaker Capital Inc, including JuanFutbol 
  • Advised Exile Contents’ shareholders, one of fastest growing media and entertainment companies, who sold 100% of their equity interest in Exile Contents to Candle Media, a next generation media company, baced by Blackstone. 
  • Representation of Bayer CropScience in its acquisition of AgraQuest, Inc. and its Mexican subsidiary, AgraQuest de Mexico S.A. de C.V. for $425 million (€340 million). 
  • Representation of Compartamos, S.A.B. de C.V., in connection with its tender offer to acquire all of the shares of Banco Compartamos, S.A. Institución de Banca Múltiple., conducted through the Mexican Stock Exchange and through a private placement for U.S. holders. 
  • Advising Ixe Grupo Financiero, S.A.B. de C.V. in connection with the MXN$16.2 billion ($1.3 billion) merger with Grupo Financiero Banorte S.A.B. de C.V. 
  • Representation of Quálitas, in connection with its tender offer to acquire all of the shares of Quálitas Compañía de Seguros, S.A.B. de C.V., a Mexican insurance company, which is the largest car insurer in Mexico, in exchange for shares issued by Quálitas Controladora, S.A.B., de C.V., conducted through the Mexican Stock Exchange. 
  • Representation of Banco Mercantil del Norte S.A. in the merger of Banorte Generali, S.A. de C.V. Afore into Afore XXI, creating one of the largest pension fund managers in Mexico and its prior $200 million acquisition of 50% of the capital stock of Banorte Generali, S.A. de C.V. Afore from Generali. 
  • Advised Nexxus Capital, one of the most important Private Equity Funds in Mexico, on the international merger of Mexican entity Translatum, into a US Company TransNorth, in connection with the forthcoming sale of 100% interest in the merging entity.
