Nadiezhda Vázquez Careaga is a Partner at SMPS Legal, with over 10 years of experience advising domestic and international clients on complex transactions and highly sophisticated structures, particularly in Real Estate, Mergers & Acquisitions, and Financing.

In the real estate sector, she has designed and implemented innovative, tax-efficient structures for projects across the commercial, hospitality, office, industrial, and residential segments, including disruptive schemes such as fractionals, contributing to investment optimization and strategic risk mitigation.

She has extensive experience in M&A transactions, representing both buyers and sellers throughout the entire deal cycle — from legal due diligence to closing and post-transaction implementation — across a wide range of industries, including manufacturing, media and entertainment, and education.

Additionally, she regularly advises investment funds on financing transactions, as well as on the structuring, negotiation, and implementation of security packages, ensuring the protection of their interests and the efficient execution of their investment strategies.

Nadiezhda holds a Law degree from Escuela Libre de Derecho and a Master’s degree in Private Business Law, which included an academic exchange program at IE Law School in Madrid. She also completed a Certificate Program in Corporate Finance at Instituto Tecnológico Autónomo de México.

  • Advised Inversiones del Caribe on the sale of properties in Cozumel for the development of Royal Caribbean’s Royal Beach Club.
  • Advised Vidrio Formas on the structuring and implementation of the sale process of Mexico’s second most significant glass manufacturing facility by BA Glass.


Banking & Finance

  • Advised Capital Indigo on the structuring, documentation, and granting of multiple financings to borrowers across various industries.


Real Estate

  • Advised Allux, one of Mexico’s leading real estate developers, on the structuring, documentation, and development of Sultana II, a high-end commercial real estate project located in San Pedro Garza García.
  • Advised Be Grand on the structuring of a development project to be built for the healthcare sector.
